Terms of Service

# 1. Acceptance

By creating an account or using the AdKar platform ("Service"), you agree to these Terms of Service ("Terms"). If you are using AdKar on behalf of a company, you represent that you have authority to bind that company to these Terms. These Terms are governed by the laws of India.

# 2. Publisher Terms

• • Publishers integrate the AdKar SDK or MCP server into their developer tools (VS Code extensions, Claude Code servers, Cursor plugins, etc.).
• • Publishers earn 75% of gross ad revenue generated on their surfaces. AdKar retains 25% as a platform fee.
• • Payouts are processed via UPI on the 1st of each month. Minimum payout is ₹500.
• • TDS will be deducted as applicable under Indian tax law.
• • Publishers must not artificially inflate impressions or clicks. Fraud results in immediate account termination and forfeiture of pending earnings.
• • Publishers must disclose ad placements to end users (e.g., "Sponsored" label). AdKar provides default disclosure templates.

# 3. Advertiser Terms

• • Advertisers must prepay campaign budgets via UPI or Razorpay. Budgets are non-refundable once a campaign is live.
• • Unused balance may be refunded within 30 days of account closure, minus any applicable processing fees.
• • Ad creatives must comply with AdKar's content policy. Prohibited categories include gambling, adult content, financial scams, and misleading health claims.
• • GST-compliant invoices are generated monthly and available in the Billing dashboard.
• • AdKar reserves the right to reject or pause campaigns that violate content policy, without refund.

# 4. Prohibited Content

The following are not permitted on the AdKar platform:

• • Gambling, fantasy sports, or lottery promotions.
• • Adult, obscene, or sexually explicit content.
• • Content promoting violence, hate speech, or discrimination.
• • Cryptocurrency trading platforms (unless registered with SEBI/RBI).
• • Malware, spyware, or deceptive software.
• • Counterfeit goods or intellectual property infringement.

# 5. API Usage

Publisher API keys grant access to impression tracking, revenue reporting, and surface configuration. You may not share API keys, use them to build competing ad networks, or reverse-engineer the AdKar SDK. Rate limits apply: 1,000 requests/minute per publisher ID.

# 6. Liability Limitation

AdKar is provided "as is." To the maximum extent permitted by Indian law, AdKar shall not be liable for indirect, incidental, or consequential damages. Our total liability for any claim shall not exceed the amount paid to or by you in the 3 months preceding the claim.

# 7. Termination

Either party may terminate their account at any time. AdKar may suspend or terminate accounts for violations of these Terms. Upon termination, pending publisher earnings that clear the minimum threshold will be paid out within 60 days.

# 8. Governing Law

These Terms are governed by the laws of India. Disputes shall be resolved through arbitration in Bangalore under the Arbitration and Conciliation Act, 1996. The language of arbitration shall be English.
